Definitions

Get it done for you B.V.: located at Pimpernel 40, 7443NA in Nijverdal, specialized in the development, production, and publication of software solutions.

The Customer: The natural or legal person who enters into an agreement with Get it done for you B.V.

Products and Services: All software products, services, and advice offered by Get it done for you B.V.

Applicability

These general terms and conditions apply to all quotes, agreements, and deliveries from Get it done for you B.V., unless explicitly agreed otherwise in writing.

Quotes and Agreements

All quotes from Get it done for you B.V. are non-binding unless stated otherwise. An agreement is established when the customer's acceptance of the offer reaches Get it done for you B.V.

Execution of Service

Get it done for you B.V. will endeavor to perform the services with care, aiming for a good and useful result. Delivery periods are indicative unless agreed otherwise in writing.

Prices and Payments

All prices are exclusive of VAT and any other government levies. Payments must be made within 14 days of the invoice date, unless otherwise agreed in writing.

A standard down payment of 40% of the total amount is invoiced before the start of work. The remaining 60% is invoiced after final (technical) delivery.

Technical Delivery

“Technical delivery” refers to the date on which the software, program, or website developed by Get it done for you B.V. is functionally ready according to the agreed specifications and technical requirements. This means Get it done for you B.V. has internally tested the solution prior to delivery.

This technical delivery marks the official moment of delivery and determines the final invoice timing. Additional test phases by the customer do not affect the delivery date or payment terms.

This ensures no ambiguity: once technically delivered according to agreements, it is considered complete. Customer testing afterwards does not postpone the payment obligation.

Exclusion of Data Extraction and Integration

If functionality depends on data to be provided by the customer or third parties, the responsibility lies with the customer. Delays in data supply do not affect the delivery date or payment obligations.

If software is developed for data extraction (e.g., scraping), technical delivery is established when the software itself is ready. Missing data integration at that point is no ground for payment suspension.

Responsibility for data supply falls outside the scope of Get it done for you B.V. once the software is technically delivered.

Intellectual Property Rights

All intellectual property rights to products and services developed by Get it done for you B.V. remain with Get it done for you B.V.. The customer receives a license for use within agreed boundaries.

Non-Solicitation

The customer is not permitted, during the agreement and for one year after, to directly or indirectly hire employees or third parties engaged by Get it done for you B.V.

In case of violation, the customer forfeits an immediately payable fine of € 25,000.- per violation, without prejudice to the right to full damages.

Liability

Get it done for you B.V. is not liable for indirect damage, including lost profits. Liability is limited to the amount paid by the insurer or the invoice amount.

Force Majeure

In case of force majeure, Get it done for you B.V. is not obliged to fulfill any obligations towards the customer.

Force majeure includes: telecommunication infrastructure failures, internet outages, power outages, supplier failures (cloud/API), fire, and strikes.

Disputes and Applicable Law

All legal relationships are exclusively governed by Dutch law. Disputes will be submitted to the competent court in the region of Get it done for you B.V.

High Priority and Response

Definition of High Priority: Problems that significantly disrupt normal business operations or critical functions.

Customers are encouraged to contact within 2 hours. Get it done for you B.V. aims for a response within 2 hours. Goal: work-around within 6 hours, permanent solution within 24 hours.

Treatment of Bugs

Definition of a bug: An error whereby the software does not function according to written specifications.

Costs: Repairing bugs within the original scope is free of charge under standard warranty.

Timeframe: Standard reporting period is 30 days after technical delivery.

Data Protection and Privacy Policy

Get it done for you B.V. processes personal data in accordance with legal requirements.

Data is not kept longer than necessary. Customers have rights to access, rectification, and deletion.

Inflation Adjustment

Get it done for you B.V. is entitled to index prices annually based on inflation.

Indexing is based on the Consumer Price Index (CPI) of the CBS.

Adjustment occurs maximum once per calendar year starting the new year.

Indexed prices take effect automatically without requiring a new agreement.
